ISDA FpML Schema LiveSearch - Licensing Terms and Conditions

Please read the terms and conditions below and indicate your acceptance before using the tool:

* You are granted a non-transferable, world-wide, royalty-free, non-exclusive license, to use the Financial products Markup Language ("FpML") Schema LiveSearch ("Schema LiveSearch") in accordance with the Terms and Conditions agreed to by you.

* You agree not to copy, reproduce the Schema LiveSearch or incorporate the Schema LiveSearch in any commercial or non-commercial application without receiving the prior written approval from the International Swaps and Derivatives Association, Inc. ("ISDA") of such use.

* ISDA may publish a revised or new version of the Schema LiveSearch, and you acknowledge that such publication and subsequent licensing may be of different terms from those contained herein.

* DISCLAIMER OF WARRANTY - THE FpML Schema LiveSearch APPLICATION IS PROVIDED UNDER THIS LICENSE ON AN "AS IS" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES THAT THE FpML Schema LiveSearch APPLICATION IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICULAR PURPOSE OR NON-INFRINGING. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE FpML Schema LiveSearch APPLICATION IS WITH YOU. SHOULD THE FpML Schema LiveSearch APPLICATION PROVE DEFECTIVE IN ANY RESPECT, YOU (NOT THE LICENSOR) ASSUME THE COST OF ANY NECESSARY SERVICING, REPAIR OR CORRECTION. * Under no circumstances and under no legal theory, whether tort (including negligence), contract, or otherwise, shall ISDA, any of its members, or any distributor of documents or software containing any of the FpML specifications or the Schema LiveSearch, or any supplier of any of such parties, be liable to you or any other person for any indirect, special, incidental, or consequential damages of any character including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses, even if such party shall have been informed of the possibility of such damages.

* You may not assign or transfer your rights or delegate your obligations under these Terms and Conditions.
